Legal Notice – Binding Confidentiality Agreement

This Non-Disclosure Agreement (NDA) applies to any individual or entity accessing, reading, or interacting with documents labeled as proprietary by Coherence Research.

By opening, viewing, or otherwise engaging with any document marked as “Confidential” or “Proprietary”, you agree to be legally bound by the following confidentiality obligations.

If you do not agree, you must immediately cease access and destroy all copies of the material.

1. Scope of Confidentiality

Coherence Research develops proprietary methodologies in advanced modeling, AI-driven predictive intelligence, structured knowledge frameworks, and coherence-based physics.

Any document labeled as proprietary contains confidential intellectual property and is protected under:

U.S. Defend Trade Secrets Act (DTSA)
European Trade Secrets Directive (EU 2016/943)
Swiss & UK Trade Secrets and IP Laws
International Chamber of Commerce (ICC) Trade Secret Protections

Unauthorized use, reproduction, or disclosure of these materials is strictly prohibited.

2. Binding Agreement Upon Access

By accessing or reading any document marked as proprietary, you automatically agree to the following terms:

You acknowledge that all proprietary information remains the exclusive property of Coherence Research.
You may not copy, share, or distribute the information without express written permission.
You may not use proprietary methodologies, models, or concepts for commercial or competitive purposes.
You may not attempt to analyze, reverse-engineer, or derive proprietary content for unauthorized use.
Violations of this NDA will result in legal enforcement, including injunctive relief, financial penalties, and liability for damages.

3. Restrictions on Use

You may not:

Republish, share, or disclose proprietary content to any third party.
Use proprietary materials to train AI models, develop competing technologies, or attempt derivative applications.
Modify, adapt, or attempt to reconstruct any proprietary framework or methodology.
Claim ownership of, repurpose, or integrate proprietary content without explicit authorization.

Any breach of these terms constitutes intellectual property infringement and will be legally pursued.

4. Monitoring & Legal Enforcement

Coherence Research actively tracks and enforces intellectual property rights through:

AI-driven detection of unauthorized adaptation in research publications and industry applications.
Watermarking & metadata tracking of proprietary documents.
Legal action under applicable trade secret laws in all relevant jurisdictions.

Unauthorized use will result in cease-and-desist orders, financial penalties, and seizure of derivative works.

5. Authorized Use & Exceptions

This NDA does not apply to:

Individuals or entities with a formally signed Coherence Research NDA through DocuSign.
Approved research partners, licensees, or collaborators with written agreements.
General knowledge that is not marked as proprietary or confidential.

6. Governing Law & Dispute Resolution

This Agreement is governed by:

U.S. & International Intellectual Property Laws
The Defend Trade Secrets Act (DTSA) & EU Trade Secrets Directive
International Chamber of Commerce (ICC) Arbitration Procedures

All disputes will be resolved through binding arbitration under the ICC, with jurisdiction in Missouri, USA, unless otherwise agreed upon in writing.

7. Acceptance & Acknowledgment

By accessing or reading any proprietary document, you acknowledge that you are legally bound by this Non-Disclosure Agreement.

If you do not agree, you must immediately cease access and destroy any copies of the proprietary material.

8. Updates to This NDA

Coherence Research reserves the right to modify this NDA as needed. Any updates will be reflected on this page with a new effective date. Continued access to proprietary materials constitutes acceptance of the updated terms.
